- Quote: they apply together with the accepted quote or plan. In the event of conflict, the terms agreed in the quote prevail (Art. 6.1 LCGC).
- Interpretation: if you are a consumer, any doubt will always be resolved in your favour (Art. 6.2 LCGC and Art. 80.2 TRLGDCU).
1. Provider
Arturo Jornet Espí, an individual working as a self-employed professional (autónomo), trading as “Cumbreo” · Tax ID (NIF) 48414534V · C/ Ademuz, 19, piso 3, puerta 9, 46180 Benaguasil (Valencia), Spain · hola@cumbreo.com · +34 672 864 386 · cumbreo.com (Art. 10 LSSI-CE and Arts. 60.2.b and 97.1.b-d TRLGDCU).
2. Services and contracting process
Web projects are contracted on the basis of a fixed written quote setting out the scope, deliverables, phases, deadlines and final price including taxes. Maintenance plans (Basic, Pro and Growth) are contracted on a monthly or annual basis (Arts. 60.2.a and c and 97.1.a, e and g TRLGDCU).
The process is as follows (Art. 27.1 LSSI-CE):
- You send us your request via the form or by email.
- We send you the quote or plan proposal, together with these terms.
- You can review it and ask us to correct any error in your details or in the order before accepting it (Art. 27.1.c LSSI-CE).
- You accept it expressly by email or by signing it. At that moment the contract is concluded (Arts. 1254 and 1262 CC and Art. 23 LSSI-CE). Your intention to contract must be unequivocal (Art. 62.1 TRLGDCU, as amended by Ley 10/2025).
- Within the following 24 hours we send you confirmation on a durable medium (email), with the quote and these terms (Art. 28.1 LSSI-CE and Art. 98.7 TRLGDCU).
We file the contract document and you may ask us for a copy (Art. 27.1.b LSSI-CE). The contract is concluded in Spanish (Art. 27.1.d LSSI-CE).
Websites are built in static HTML, CSS and JavaScript, with the help of automation and artificial intelligence tools. A person reviews every deliverable before it is published (Art. 60.2.a TRLGDCU; voluntary disclosure, Art. 50 AI Act).
3. Prices and taxes
- VAT included: prices are shown including VAT (21%), and the pre-VAT price is also shown for businesses and self-employed professionals (Arts. 20.1.c and 60.2.c TRLGDCU, and Art. 90.One LIVA). If you are a consumer, the price you pay is always the final price shown, with all taxes and components included (Arts. 20.1.c, 20.4 and 97.1.e TRLGDCU).
- Monthly plans: Basic €12 (€9.92 + VAT), Pro €26 (€21.49 + VAT) and Growth €49 (€40.50 + VAT).
- Annual plans: €120, €260 and €490 (€99.17, €214.88 and €404.96 + VAT), respectively. They are equivalent to 10 monthly payments.
- Hosting and domain: these are not included and are invoiced separately. We will confirm their final price including VAT in writing before you contract them, whether you use our providers (GoDaddy / [HOSTING]) or ones you prefer (Art. 60.2.c TRLGDCU). Plans include their management: setup, DNS, renewals and SSL.
4. Payment and delivery
4.1 Web projects (one-off payment).
- 50% on acceptance of the quote, as a deposit on account of the price. It is not a forfeitable or penitential deposit (arras; Art. 1454 CC does not apply). It is deducted in full from the total price, and its loss never operates as a penalty. If the contract is not performed for reasons not attributable to you, it is refunded in full (Arts. 87.2 and 88 TRLGDCU, and Arts. 1124 and 1895 CC).
- The remaining 50% on delivery and acceptance, before the website is published on your domain. This payment completes the assignment of rights under section 9 (Art. 1500 CC by analogy, and Arts. 43 and 51 LPI).
- With your agreement, a different schedule may be set out in the quote, for example by phase. We will never ask you to pay more than 50% of a project in advance (Art. 82.1 TRLGDCU, balance of obligations).
4.2 Phases and deliverables (Art. 60.2.e TRLGDCU and Art. 1258 CC)
- Briefing: a meeting or questionnaire to define goals, content and references. You provide the materials (section 8).
- Design proposal: we present the design of the home page or key pages.
- Revisions: 2 rounds of changes to the proposal are included, plus one further round on the developed website. Additional rounds, or changes that alter the agreed scope, are quoted separately and only carried out if you accept them in writing (Arts. 1255 and 1256 CC, and Art. 85.3 TRLGDCU).
- Development and delivery: we deliver the website in a staging environment for you to review.
- Acceptance: you confirm it in writing (email). If you find errors or discrepancies with what was agreed, we will fix them free of charge and they do not count as a round of changes (Arts. 1101 and 1258 CC, and Arts. 114 et seq. TRLGDCU).
- Final payment and go-live: after payment of the remaining 50%, we publish the website on your domain and hand over the source code and access credentials.
4.3 Deadlines and delays
- Deadlines: the deadline for each phase is stated in the quote and we undertake to meet it (Art. 60.2.e TRLGDCU). If the quote states no deadline, delivery will take place within a maximum of 30 calendar days from receipt of the materials (Art. 66 bis.1 TRLGDCU by analogy, and Art. 1128 CC).
- Delays on your side: if you are late in providing materials, answers or approvals, our deadlines are extended by the same period, and such delays cannot be attributed to us (Arts. 1100 and 1124 CC). If the project is held up for more than 60 days for reasons attributable to you, we will remind you in writing. If you do not resume it within a further 30 days, either party may terminate the contract. In that case we will invoice only the work done, deduct the deposit and refund any excess (Arts. 1124 and 1595 CC, and Arts. 86.7 and 87 TRLGDCU).
- Delays on our side: if we are late for reasons attributable to us, you may grant us a reasonable additional period and, if we still fail to deliver, terminate the contract and recover what you paid for the work not performed (Art. 1124 CC and Art. 66 bis.2 TRLGDCU by analogy).
4.4 Deemed acceptance (businesses and self-employed only). If you are a business or professional and you neither report errors nor accept the delivery within 15 calendar days of our sending it, following a written reminder, the delivery will be deemed accepted (Art. 1255 CC and Art. 336 CCom). If you are a consumer, there is no deemed acceptance: acceptance will always be express, and your silence never implies agreement or causes you to lose your guarantee rights (Arts. 86.7 and 87 TRLGDCU, and Arts. 114 et seq. TRLGDCU).
4.5 Maintenance plans. These are paid in advance: at the start of each month on the monthly option, or at the start of each year on the annual option (Arts. 1255 and 1500 CC, and Art. 60.2.e TRLGDCU).
4.6 Payment methods, invoices and surcharges.
- Payment methods: bank transfer, SEPA direct debit or [OTHER METHOD, if used] (Art. 60.2.e TRLGDCU).
- No surcharges: we do not charge surcharges for using a particular payment method (Art. 60 ter TRLGDCU).
- Invoices: we issue a full invoice for each payment, including the deposit (Arts. 2, 6 and 11 of Real Decreto 1619/2012, the Spanish Invoicing Regulation). With your authorisation, in electronic format (Art. 9 of the same regulation).
4.7 Late payment and suspension.
- Notice and suspension: if a payment is late, we will notify you by email. If it is still outstanding 15 calendar days after the notice, we may suspend the plan services or further work on the project until it is paid (Art. 1124 CC, exceptio non adimpleti contractus).
- What is never suspended: your published website or your domain, which belong to you. We will not prevent the transfer of the domain or withhold your website (section 9 of these terms and Art. 86.7 TRLGDCU).
- Termination: if non-payment continues 30 days after the suspension, we may terminate the contract (Art. 1124 CC).
- Between businesses or professionals only: statutory late-payment interest and compensation for recovery costs (€40 plus documented costs) will apply (Arts. 5, 7 and 8 of Ley 3/2004, de medidas de lucha contra la morosidad, the Spanish Late Payment Act). Ley 3/2004 and any penalty do not apply to consumers. Consumers are liable only for statutory interest where applicable (Arts. 1100, 1101 and 1108 CC), and no disproportionate compensation is imposed (Art. 85.6 TRLGDCU).
5. Changes included in the plans
- What counts as a change: an edit or correction to content: copy, images, a section, or publishing or updating a post or page. Unused changes do not roll over to the next month (Art. 60.2.a TRLGDCU).
- New developments: larger pieces of work are quoted separately and require your acceptance (Art. 1256 CC and Art. 85.3 TRLGDCU).
- Response times: as stated for each plan, in working days (Monday to Friday, excluding public holidays in the Valencian Community). They do not include emergency phone support outside business hours. The customer service phone line in section 1 is available for enquiries and complaints during business hours (Art. 21.2 and 21.3 TRLGDCU).
6. Term, renewal and cancellation
- No minimum term: plans have no minimum commitment period (Art. 62.2 TRLGDCU).
- Renewal: they renew automatically for equal periods (month or year), unless you cancel before the next renewal (Art. 1255 CC).
- How to cancel: you can cancel whenever you like, by email to hola@cumbreo.com, by phone or through the same channel you used to sign up. There is no penalty and no need to give a reason, and we will send you written confirmation (Arts. 62.1, 62.3 and 87.6 TRLGDCU).
- Notice for annual plans: we will email you at least 30 days before renewal, stating the applicable price (Art. 62.3 TRLGDCU and Art. 7 LCGC).
- Effect of cancellation: it takes effect at the end of the period already paid. Except for the right of withdrawal (section 7) and cases of breach on our part (section 14), the pro-rata portion of the current period is not refunded, because that period has been paid for and is provided in full (Art. 87.5 TRLGDCU, a contrario).
- Changes to prices or terms: we will notify you at least 30 days before renewal, and you may cancel free of charge before they apply (Art. 85.3 TRLGDCU).
- On cancellation: we hand over the up-to-date code of your website and the access credentials, and help you transfer the domain and hosting (Art. 62.4 TRLGDCU).
7. Right of withdrawal (consumers only)
7.1 Period and method.
- Right: if you are a consumer, you may withdraw from the contract within 14 calendar days, without giving any reason and at no cost, except as provided in section 7.3 (Arts. 68, 71 and 102.1 TRLGDCU).
- Start of the period: the day the contract is concluded, i.e. when you accept the quote or sign up for the plan (Art. 104.a TRLGDCU).
- How: before the period expires, send us a clear statement by email to hola@cumbreo.com or by post to C/ Ademuz, 19, piso 3, puerta 9, 46180 Benaguasil (Valencia), Spain. You may use the model form in section 7.6, but it is not compulsory (Art. 106.1 TRLGDCU).
- Meeting the deadline: it is sufficient to send your communication before the period expires (Art. 106.3 TRLGDCU), and we will acknowledge receipt without delay on a durable medium (Art. 106.4 TRLGDCU).
- If we fail to inform you: if we had not informed you of this right, the period would be extended by 12 months (Art. 105 TRLGDCU).
7.2 Refund. We will refund all payments received, including the deposit under section 4.1, without undue delay and no later than 14 calendar days from when you notify us of your decision. We will use the same payment method unless you expressly agree otherwise, and you will incur no costs (Art. 107.1 TRLGDCU).
7.3 Starting during the withdrawal period. We will only start providing the service within the 14 days if you expressly ask us to, on paper or another durable medium (Art. 98.8 TRLGDCU). If you then withdraw, we will deduct from the deposit only the amount proportionate to the part of the service provided until you notify us of your withdrawal, in relation to the total scope of the contract and calculated on the total agreed price. We will refund the rest (Art. 108.3 TRLGDCU). If you do not ask us to start, we will not begin until the period has ended, and if you withdraw you will recover the full deposit (Art. 108.4.a TRLGDCU).
7.4 Exceptions (Art. 103 TRLGDCU). You may not withdraw in the following cases:
- a) Fully performed services (Art. 103.a): where the service has been fully performed, if performance began with your prior express consent and your acknowledgement that you would lose the right of withdrawal once the contract had been fully performed. For example: an audit already delivered, a website delivered, accepted and published, or a month of maintenance already provided in full.
- b) Goods made to your specifications or clearly personalised (Art. 103.c): only if, in addition to the website, we supply you with custom-made goods (for example, printed graphic material or a physical medium bearing your visual identity).
- c) Digital content not supplied on a tangible medium (Art. 103.m): where we have begun supplying it with your express consent and your acknowledgement that you lose the right of withdrawal, and we have sent you the confirmation under Art. 98.7.
- d) Domain registered in your name: registration is fully performed at the moment it is made (Art. 103.a). If you ask us to register it during the withdrawal period, its cost will not be refundable.
Web design is a provision of services, so the applicable exception is the one in point a). The exception in point b) applies only to goods (Art. 103.c TRLGDCU).
7.5 Wording of the checkbox for the quote or plan sign-up (optional, not pre-ticked and on a durable medium; Arts. 98.8 and 103.a TRLGDCU):
☐ I expressly request that Cumbreo start providing the service before the 14-day withdrawal period ends. I understand that, if I withdraw, the proportionate part of the service already provided will be deducted from the deposit paid (Art. 108.3 TRLGDCU), and I acknowledge that I will lose the right of withdrawal once the service has been fully performed (Art. 103.a TRLGDCU).
7.6 Model withdrawal form (Annex B TRLGDCU and Art. 97.1.i)
Complete and return this form only if you wish to withdraw from the contract.

8. Client obligations and warranty regarding content
- Materials: you undertake to provide the necessary content, copy, images, logos and access credentials in good time (Art. 1258 CC).
- Warranty of rights: you warrant that you own those materials or hold the necessary licences and permissions, including those of any people appearing in them. You also warrant that their use does not infringe third-party rights or the law (Arts. 17 and 138 LPI, Art. 34 of Ley 17/2001, de Marcas (Spanish Trade Marks Act), Ley Orgánica 1/1982 on the right to honour, privacy and one’s own image, and Art. 6 GDPR).
- If materials infringe rights: you will be liable to the injured third parties. If you are a business or professional, you will indemnify us against any claims we receive for that reason, including reasonable defence costs (Arts. 1101 and 1902 CC). If you are a consumer, you will be liable only under the general rules, with no indemnity clause (Art. 86 TRLGDCU).
- Unlawful content: we may refuse to publish manifestly unlawful content, and we will let you know (Arts. 11 and 16 LSSI-CE).
- Responsibility for the website: as owner of the website, you are responsible for its content and its legal information (legal notice, privacy and cookies) (Arts. 10 and 22.2 LSSI-CE and Art. 24 GDPR).
- Legal texts: if you contract it, we can draft a basic version of those texts, which you will need to review. This service is not legal advice (Art. 60.2.a TRLGDCU).
9. Intellectual property: the website is yours
9.1 Principle. The website we deliver is yours. Cumbreo creates it to your commission and, if you contract a plan, manages its content and maintenance on your behalf, without acquiring any rights over it or over your domain (Art. 51 LPI and Art. 1709 CC).
9.2 Assignment of rights.
- What is assigned: Cumbreo assigns to you, exclusively, all exploitation rights in the website created for you. This includes the design, structure and architecture, source and object code, copy, graphics and original images created for the project, and their documentation (Arts. 43, 48 and 51 LPI and, for software, Arts. 96 and 99 LPI).
- Rights included: reproduction, distribution, public communication (including making available online) and transformation (Arts. 17 to 21 and 99 LPI). You may modify it, adapt it, have it maintained by another provider and assign or license those rights to third parties (Art. 49 LPI).
- Scope: worldwide and for the full term of legal protection (Arts. 26, 43.2 and 98 LPI), for any form of exploitation known at the date of the contract (Art. 43.5 LPI).
- Price: included in the agreed price, with no additional remuneration (Art. 46.1 LPI).
9.3 Timing.
- When it takes place: the assignment takes place on delivery of the website and full payment of the price (section 4.1) (Arts. 45 and 51.2 LPI).
- Before full payment: from delivery in the staging environment you may review and use it under a free, non-exclusive licence, revocable only if the contract is terminated.
- On full payment: the assignment becomes final without the need for any further document. We hand over the source code and all access credentials, and we retain no technical means of blocking the website (Art. 1258 CC and Art. 82.1 TRLGDCU).
- If the contract is terminated before full payment: amounts paid are allocated to the work done, and we hand over that work with the assignment corresponding to the part paid (Art. 1124 CC and Art. 87 TRLGDCU).
9.4 Moral rights. The author retains the inalienable moral rights (Art. 14 LPI). Cumbreo undertakes not to exercise them in a way that prevents or hinders exploitation of the website, including its modification (Arts. 14.4 and 99.b LPI, and Art. 7 CC, good faith).
9.5 Excluded elements. Only the following are excluded from the assignment:
- Third-party elements under their own licence: fonts, open-source libraries and components, plugins, icons and stock images, which are governed by their licences. We will identify them if you ask. Where the licence so requires, they will be licensed in your name or transferred to you on the terms it allows (Arts. 43 and 49 LPI).
- Cumbreo’s general know-how: methods, processes and know-how not specific to your website, which are not protected as works (Art. 10 LPI, a contrario, and Ley 1/2019, de Secretos Empresariales, the Spanish Trade Secrets Act). Their use in other projects will never reproduce your design, your content or your distinctive signs.
9.6 AI-generated content.
- How we use it: as support; a person reviews, selects and adapts the output.
- Human authorship: copyright only protects original creations by a natural person (Arts. 1, 5.1 and 10.1 LPI and CJEU case law, Cases C-5/08 Infopaq and C-683/17 Cofemel). Machine-generated output without human creative input may therefore not be protected.
- Assignment: to the extent that rights exist in that output, including those arising from our human input, they are assigned together with the rest of the website, with the same scope as in section 9.2 (Art. 43 LPI).
- Checks: we take reasonable steps to verify that the output does not reproduce protected third-party works, and we use tools whose terms allow commercial use (Art. 1258 CC). We inform you of our use of AI (Art. 50 AI Act, voluntarily in this case).
9.7 Portfolio. We will only show your project (name, logo, screenshots and link) on our website and social media with your express written permission. You may withdraw it at any time, and we will remove it within 7 days at the latest (Arts. 2 and 7 of LO 1/1982, Art. 34 of the Spanish Trade Marks Act and Art. 6.1.a GDPR if personal data is included).
9.8 Data processor. While we host, maintain or manage the content of your website, we will act as processor of the personal data for which you are the controller (Art. 28 GDPR and Art. 33 LOPDGDD). We undertake to:
- process the data only on your documented instructions (Art. 28.3.a GDPR);
- ensure confidentiality (Art. 28.3.b GDPR);
- apply security measures (Arts. 28.3.c and 32 GDPR);
- engage sub-processors (hosting, registrar, form) only with your general authorisation and notify you of any changes (Art. 28.2 and 28.4 GDPR);
- assist you with data subjects’ rights (Art. 28.3.e GDPR);
- notify you without undue delay of any security breach (Art. 33.2 GDPR);
- return or delete the data at the end, as you choose (Art. 28.3.g GDPR);
- provide you with the information necessary to demonstrate compliance (Art. 28.3.h GDPR).
These terms are supplemented by the data processing agreement we will sign with you (Arts. 28.3 and 28.9 GDPR).
10. Domain and hosting
- Domain: always registered in your name, as registrant. Cumbreo manages it on your behalf and gives you the transfer code and access credentials at any time (Art. 1709 CC and section 9.1).
- Hosting: provided by external providers ([HOSTING]), who are responsible for their infrastructure. We do not guarantee uninterrupted availability. We monitor downtime and manage the fix with the provider (Art. 1104 CC, due diligence).
11. SEO and results
We apply technical and on-page SEO best practice, aligned with Google’s guidelines. Rankings depend on third parties, such as search engine algorithms and competitors, so we do not guarantee rankings, traffic or sales. The figures under “Targets” are technical targets, not commitments as to results (Arts. 5 and 7 LCD, Art. 3.e LGP and Art. 61 TRLGDCU, advertising forming part of the contract).
12. Accessibility
We build following accessibility best practice (target: WCAG 2.1 AA, standard UNE-EN 301549). If your business is subject to Ley 11/2023, de 8 de mayo, transposing Directive (EU) 2019/882 on accessibility requirements, or to other regulations, let us know and we will quote for a specific audit. Unless expressly agreed, we do not guarantee certified compliance (Art. 60.2.a TRLGDCU).
13. Liability
We provide our services with due professional diligence (Arts. 1101 and 1104 CC).
- Towards businesses or professionals, save in the case of wilful misconduct or gross negligence (Art. 1102 CC), our liability is limited to the amount paid in the 12 months preceding the event giving rise to it. It does not cover loss of profit, data losses attributable to third parties or outages of hosting or domain providers (Art. 1255 CC).
- Towards consumers, we are liable in accordance with the law, and no clause limits their rights (Arts. 10, 82.4.b and 86 TRLGDCU). In particular, we are liable for any lack of conformity of the digital content and services we supply (Arts. 114 et seq. TRLGDCU) and for any damage caused (Arts. 147 and 148 TRLGDCU).
14. Termination of the contract
- Serious breach: either party may terminate the contract if the other commits a serious breach and fails to remedy it within 15 days of being required to do so in writing (Art. 1124 CC).
- If we terminate through no fault of yours: we will refund the portion paid for services not provided and hand over your website, its code and the access credentials (Arts. 1124 and 1303 CC, and Art. 87 TRLGDCU).
- No unilateral powers: we do not reserve the right to terminate the contract at our discretion (Art. 85.4 TRLGDCU).
15. Data protection
We process your data in accordance with our privacy policy (Art. 13 GDPR). Where we act as processor of your website’s data, section 9.8 applies.
16. Customer service and complaints
- Channels: you can submit enquiries, complaints or claims by email (hola@cumbreo.com), by phone (+34 672 864 386, Monday–Friday, 10:00–18:00 CET) or by post to our address (Art. 21.3 TRLGDCU, as amended by Ley 10/2025). Support is personal and at no additional cost (Art. 21.2 TRLGDCU).
- Acknowledgement: we will send you an acknowledgement with a reference number (Art. 21.2 TRLGDCU).
- Response time: as short as possible and no more than 15 days from submission (Art. 21.3 TRLGDCU).
- Alternative dispute resolution: Cumbreo is not a member of any alternative dispute resolution body (Art. 40 of Ley 7/2017, de 2 de noviembre, the Spanish Consumer ADR Act). If you are a consumer, you may ask us for the official complaint form (hoja de reclamaciones) and contact the Junta Arbitral de Consumo de la Comunitat Valenciana (Valencian Consumer Arbitration Board) or your local consumer services (Ley 1/2011, de 22 de marzo, Estatuto de los Consumidores y Usuarios de la Comunitat Valenciana (Valencian Consumer Statute), and Real Decreto 231/2008, del Sistema Arbitral de Consumo (Spanish Consumer Arbitration System)).
17. Governing law and jurisdiction
These terms are governed by Spanish law. If you are a consumer, the courts of your place of residence will have jurisdiction, and submission to any other forum is not valid (Arts. 52.2, 52.3 and 54.2 LEC and Art. 90.2 TRLGDCU). In all other cases, the parties submit to the courts of Llíria (Valencia) (Art. 55 LEC).
18. Changes to these terms
Each contract is governed by the terms in force when it is concluded (Art. 1091 CC). Changes affecting ongoing plans are notified as set out in section 6 (Art. 85.3 TRLGDCU).
19. Force majeure
Neither party is liable for failures caused by unforeseeable or unavoidable events beyond its reasonable control (Art. 1105 CC), such as disasters, widespread power or telecommunications outages, large-scale cyberattacks on providers or decisions by the authorities. While they last, the affected obligations are suspended and the other party will be notified as soon as possible.
20. Prohibited uses
We will not develop or maintain websites with unlawful content or purposes, such as those infringing third-party rights, misleading advertising, fraud, hate, or content harmful to minors. If we are notified of, or detect, manifestly unlawful content, we may refuse to publish it or remove it after notifying you (Art. 16 LSSI-CE and Regulation (EU) 2022/2065, the Digital Services Act) and, if serious, terminate the contract under section 14.
21. Evidence, partial invalidity and language
The parties accept the accepted quote, the confirmation and archived electronic communications as evidence of the contract (Art. 24 LSSI-CE). If any clause is declared void, only that clause ceases to have effect and the remainder stays in force; in consumer contracts it will be supplemented in accordance with Art. 83 TRLGDCU. These terms are drafted in Spanish, which is the language of the contract; this English translation is provided for convenience only.
22. Artificial intelligence
